Statutes of the Vita et Futura Foundation Fund<\/strong><\/p>\n

Preamble
\nThe Board of Directors of the Vita et Futura Foundation Fund hereby issues the Statutes of the Vita et Futura Foundation Fund.<\/p>\n

Article I
\nFounder, Name and Registered Office of the Foundation Fund<\/strong><\/p>\n

    \n
  1. The founder of the Vita et Futura Foundation Fund (hereinafter also referred to as the \u201cFoundation Fund\u201d) is:<\/li>\n<\/ol>\n

    1. Name of the Foundation Fund: Vita et Futura Foundation Fund<\/strong><\/li>\n
    2. Registered office of the Foundation Fund: Hlohova 2094\/50, Prague 10, 106 00, Czech Republic<\/strong><\/li>\n

      Article II
      \nPurpose of the Foundation Fund<\/strong><\/p>\n

        \n
      1. Purpose of the Foundation Fund
        \na) to support and promote the development of gynaecology and obstetrics with the aim of achieving the highest European standards;
        \nb) to support beneficial projects consistently aimed at the humanisation of gynaecology and obstetrics, in particular the establishment of a new facility equipped with state-of-the-art medical technology meeting the standards of a model obstetric facility providing enhanced care;
        \nc) to contribute to the training, education and professional development of teams and individuals in healthcare, psychology and related fields, where the purpose is to foster a sense of solidarity and responsibility towards patients, colleagues and the profession;
        \nd) to support the publication of professional and educational literature focusing on gynaecology and obstetrics;
        \ne) to provide information on gynaecology and obstetrics to both professional audiences and the general public, in particular by organising conferences, seminars and similar events;
        \nf) to engage in scientific research in the field of gynaecology and obstetrics and to apply the results of such research in clinical practice.<\/li>\n
      2. In pursuing its purpose, the Foundation Fund establishes contacts with legal entities and individuals in the Czech Republic and abroad and cooperates with public institutions, including the Ministry of Health, Charles University and others.<\/li>\n
      3. The Foundation Fund is non-political in nature and is open to cooperation with all partners, including international partners, pursuing similar objectives.<\/li>\n<\/ol>\n

        Article III
        \nAmount of the Initial Contribution<\/strong><\/p>\n

        The initial contribution to the Foundation Fund consists of financial resources in the amount of CZK 1,000.<\/p>\n

        Article IV
        \nAssets and Financial Management of the Foundation Fund<\/strong><\/p>\n

          \n
        1. The Foundation Fund manages its assets in accordance with generally binding legal regulations. Its sources of assets include:
          \na) income generated from its own movable and immovable property;
          \nb) donations and contributions from legal entities and individuals in the Czech Republic and abroad;
          \nc) income from its own activities carried out in accordance with the purpose of the Foundation Fund and the applicable legislation governing foundations and foundation funds.<\/li>\n
        2. The Foundation Fund uses its assets in accordance with its purpose, in particular by:
          \na) purchasing equipment and facilities used to introduce new technologies into gynaecology and obstetrics and providing such equipment as foundation contributions;
          \nb) contributing to the organisation of congresses, symposia and other events relating to gynaecology and obstetrics;
          \nc) contributing towards stays abroad by Czech specialists in gynaecology and obstetrics;
          \nd) supporting the establishment of model gynaecological and obstetric facilities in Prague, or elsewhere, with the aim of achieving the highest European standards;
          \ne) supporting the establishment and operation of a specialist publishing house;
          \nf) purchasing specialist literature and making it available in support of the Foundation Fund\u2019s purpose;
          \ng) leasing non-residential premises necessary for the Foundation Fund\u2019s activities;
          \nh) organising undergraduate and postgraduate education for persons involved in gynaecology and obstetrics.<\/li>\n<\/ol>\n

          Article V
          \nBoard of Directors<\/strong><\/p>\n

            \n
          1. The activities of the Foundation Fund are managed by the Board of Directors.<\/li>\n
          2. The Board of Directors consists of three members. The first members of the Board of Directors are:<\/li>\n<\/ol>\n

            Prof. Josef Bendl, MD, CSc.<\/p>\n

            Assoc. David Ku\u017eel, MD, CSc.<\/p>\n

              \n
            1. Members of the Board of Directors are elected by the Board of Directors.<\/li>\n
            2. The term of office of members of the Board of Directors is five years.<\/li>\n
            3. The Board of Directors elects its Chair from among its members. The Chair convenes and presides over meetings of the Board of Directors at least once a year. The Chair is required to convene the Board whenever requested to do so by the Auditor.<\/li>\n
            4. A member of the Board of Directors may not be represented by another person at a meeting and is required to attend meetings in person.<\/li>\n
            5. The Board of Directors adopts decisions by a majority of all votes. All members have equal voting rights. A decision to merge the Foundation Fund with another foundation requires the consent of all members of the Board of Directors.<\/li>\n
            6. The Board of Directors may remove a member for reasons stipulated by law.<\/li>\n
            7. The Foundation Fund is represented in dealings with third parties by the Chair of the Board of Directors jointly with one other member of the Board. For legal acts of the Foundation Fund to be valid, the signatures of the Chair and one other member of the Board are required. Employees and other persons may act on behalf of the Foundation Fund on the basis of written authorisation signed by the Chair and one other member of the Board.<\/li>\n
            8. In addition to matters entrusted to it by law, the Board of Directors decides on:
              \na) acceptance of foundation donations;
              \nb) provision of foundation contributions;
              \nc) establishment of the professional administrative structure strictly necessary for the operation of the Foundation Fund;
              \nd) establishment of sections as internal organisational units of the Foundation Fund;
              \ne) appointment and removal of the head of a section (hereinafter also referred to as the \u201cSection Head\u201d) and determination of their remuneration;
              \nf) transfer of funds from an account for which the relevant Section Head also has independent signing authority to an account for which only members of the Board of Directors have signing authority (hereinafter the \u201cFoundation Fund\u2019s main account\u201d), if the Section Head has breached these Statutes or an agreement concluded with the Foundation Fund;
              \ng) determination of the percentage of income that each section is required to transfer to the Foundation Fund\u2019s main account.<\/li>\n
            9. In all its activities, the Board of Directors is required to respect the purpose of the Foundation Fund.<\/li>\n<\/ol>\n

              Article VI
              \nSections and Section Heads<\/strong><\/p>\n

                \n
              1. The Board of Directors may decide to establish one or more sections of the Foundation Fund. A section is an internal organisational unit of the Foundation Fund and does not have separate legal personality. Each section is managed by a Section Head, who is responsible for its activities and financial management.<\/li>\n
              2. A Section Head is appointed by a majority vote of the Board of Directors for a fixed term determined by the Board, usually five years. To perform this role, the Section Head must enter into a written agreement with the Foundation Fund (hereinafter the \u201cSection Head Agreement\u201d). If the Section Head refuses to enter into such an agreement, the appointment shall immediately cease to be valid. A Section Head is not authorised to act on behalf of the Foundation Fund until a written agreement has been concluded.<\/li>\n
              3. A Section Head is authorised to act and sign on behalf of the Foundation Fund only in matters concerning the section they manage. In other matters, the Section Head may act and sign only on the basis of a written power of attorney granted by the Board of Directors.<\/li>\n<\/ol>\n

                Article VII
                \nAuditor<\/strong><\/p>\n

                  \n
                1. The Auditor is elected and removed by the Board of Directors. The first Auditor of the Foundation Fund is Em\u00edlie Hoppeov\u00e1.<\/li>\n
                2. The Auditor\u2019s term of office is five years.<\/li>\n<\/ol>\n

                  Article VII
                  \nAdministrative Expenses of the Foundation Fund<\/strong><\/p>\n

                  The Foundation Fund\u2019s total annual administrative expenses may not exceed 30% of the value of foundation contributions provided during the relevant year.<\/p>\n

                  Article VIII
                  \nConditions for Providing Foundation Contributions<\/strong><\/p>\n

                    \n
                  1. Foundation contributions are provided to healthcare professionals, particularly those working in gynaecology and obstetrics, on the basis of a written application or a proposal submitted by a member of the Board of Directors. Contributions of up to CZK 100,000 are approved by the head of the relevant subsection of the Foundation Fund.<\/li>\n
                  2. Written applications for amounts exceeding CZK 100,000 are approved by the Board of Directors on the basis of a written application submitted by the head of the relevant subsection.<\/li>\n
                  3. A person receiving a foundation contribution in accordance with the purpose for which the Foundation Fund was established must use it strictly in accordance with the conditions specified by the Foundation Fund. Otherwise, the recipient is required to return the contribution, or its monetary equivalent, within the period specified by the Foundation Fund.<\/li>\n
                  4. At the request of the Foundation Fund, a recipient must provide evidence of how and for what purpose the contribution was used.<\/li>\n
                  5. An application for a foundation contribution must specify:
                    \na) the purpose for which the contribution is requested;
                    \nb) the amount requested;
                    \nc) whether funding for the same purpose has also been requested from other sources.<\/li>\n
                  6. Method of providing a foundation contribution:
                    \na) a foundation contribution is provided on the basis of an agreement between the Foundation Fund and the recipient.<\/li>\n
                  7. A monetary contribution is transferred to the recipient\u2019s bank account or, where applicable, paid in cash against a receipt. Movable property is handed over personally to the recipient or to a person authorised by the recipient.<\/li>\n
                  8. Criteria for evaluating applications for foundation contributions include:
                    \na) educational projects for doctors, midwives and nurses;
                    \nb) projects aimed at reducing maternal mortality and morbidity;
                    \nc) projects aimed at reducing perinatal mortality and morbidity;
                    \nd) scientific research in gynaecology and obstetrics.<\/li>\n
                  9. There is no legal entitlement to receive a foundation contribution.<\/li>\n
                  10. The Foundation Fund\u2019s annual report shall include an overview of persons who have received foundation contributions exceeding CZK 10,000 for the purposes for which the contributions were granted, together with an assessment of whether and how those contributions were used. Where a contribution has been provided to an individual for health-related or other humanitarian purposes and that individual requests anonymity, their anonymity shall be respected.<\/li>\n<\/ol>\n

                    Article IX
                    \nAnnual Report<\/strong><\/p>\n

                      \n
                    1. The Foundation Fund prepares an annual report each year by 30 June of the following calendar year.<\/li>\n
                    2. The annual report shall be filed with the competent Registry Court and shall also be made available at the Foundation Fund\u2019s registered office during office hours.<\/li>\n<\/ol>\n

                      Article X
                      \nFinal Provisions<\/strong><\/p>\n

                        \n
                      1. These Statutes were approved by the Board of Directors on 8 January 2015.<\/li>\n
                      2. These Statutes shall enter into effect on the date on which the relevant amendments are entered in the Foundation Register.<\/li>\n
                      3. These Statutes may be amended or supplemented by written, consecutively numbered amendments.<\/li>\n
                      4. These Statutes are executed in two identical counterparts, one of which shall be submitted to the Registry Court for inclusion in the Collection of Deeds and the other retained in the Foundation Fund\u2019s records.<\/li>\n<\/ol>\n
